A CANADIAN PAYPAL ACCOUNT (BUSINESS OR PERSONAL) IN GOOD STANDING IS REQUIRED TO PARTICIPATE AND TO RECEIVE & USE A PRIZE. YOUR PARTICIPATION IS SUBJECT TO THE TERMS AND CONDITIONS OF THE PAYPAL CANADA USER AGREEMENT (https://www.paypal.com/ca/webapps/mpp/ua/useragreement-full?locale.x=en_CA). FURTHER, BY PARTICIPATING YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE PARTICIPATING. WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE SPONSOR FROM YOU.
WINNER WILL BE REQUIRED TO PARTICIPATE IN THE PRIZE FULFILLMENT PROCESS AND CORRECTLY ANSWER A SKILL-BASED MATHMATICAL TEST QUESTION, WITHIN SEVEN (7) DAYS, AS MORE FULLY DETAILED BELOW.
OVERVIEW/TIMING/SPONSOR: The PayPal Canada January 2024 to December 2024 Survey Contest ("Contest"), sponsored by PayPal Canada, 661 University Ave, Toronto, ON M5G 1M1, Canada ("Sponsor"), begins at 12:00:00 a.m. Pacific Time ("PT") on Monday, January 1, 2024 and ends at 11:59:59 p.m. PT on Tuesday December 31, 2024 ("Promotion Period") with four (4) corresponding Contest Periods (each a "Contest Period") as more fully described below. Sponsor will conduct one or more survey(s) ("Survey(s)") during the Contest Period and will email select individuals throughout the Contest Period inviting them to participate in the Survey(s) ("Survey Invitation(s)"). The first time that an eligible individual properly and fully completes a Survey during the Contest Period, he/she will earn one (1) entry into this Contest as more fully described below. Limit one (1) entry per person/company and per PayPal account regardless of the number of Surveys completed during the Contest Period. You are not eligible to participate if you do not receive a Survey Invitation directly from Sponsor. After the Contest Period, one (1) winner will be selected in a random drawing from amongst all eligible entries received across all Surveys conducted during the Contest Period as more fully described below. Not all surveys conducted by Sponsor during the Contest Period will be eligible for entry in this Contest; only those surveys associated with a Survey Invitation that invites participation in this Contest will be eligible.
ELIGIBILITY: This Contest is open only to individuals who: (1) are legal residents of Canada ("Territory"); (2) are at least the age of majority under applicable law in their province or jurisdiction of primary residence as of the date of entry into this Contest; (3) receive an authorized Survey Invitation from Sponsor; and (4) have (or, for business accounts, whose business has) a valid Canadian PayPal business or personal account in good standing as of the time of entry and through the time of prize award and fulfillment ("Eligible Entrants"). The company by which any individual participant is employed/or is an owner must be legally formed in a province/jurisdiction in the Territory. Employees, officers, directors, members, managers, agents, and representatives of Sponsor, FocusVision or their respective parent and subsidiary companies, affiliates, divisions, representatives, consultants, sub-contractors, suppliers, distributors, legal counsel, prize providers, Contest administrators, advertising, public relations, promotional, fulfillment and marketing agencies (collectively the "Released Parties") and members of their immediate families (defined for these purposes as including spouse, domestic partner, parents, legal guardian, legal ward, children, and siblings and each of their respective spouses) and individuals living in the same household as such individuals, are not eligible. Eligibility for and those who receive a Survey Invitation will be determined in Sponsor's sole discretion. Even if you receive a Survey Invitation, you must confirm that you meet all eligibility requirements; receipt of a Survey Invitation does not guarantee that you are eligible to participate in the Contest.
If you are participating as part of a company or on behalf of your employer, you agree that these Official Rules are binding on you, individually, and your employer. If you are acting within the scope of your employment, as an employee, contractor, or agent of another party, you warrant that: (1) you have authority to do so; (2) your employer/company has full knowledge of your actions and has consented thereto and (3) your actions do not violate your employer's or company's policies and procedures.
CONTEST PERIODS: There are four (4) Contest Periods as defined in the chart below. Entries must be received during the Contest Period to be eligible for that corresponding Contest Period drawing. Non-winning Contest Period entries will not be rolled over to subsequent Contest Periods.
TO ENTER: There are two (2) ways to enter.
Method #1: Survey Entry. During the Contest Period, Sponsor will send Survey Invitation(s) inviting eligible entrants to visit a designated website ("Contest Site(s)") to complete a Survey. To enter, eligible entrants must click the link or otherwise follow the instructions contained in a Survey Invitation and then follow the on-screen links and instructions on the applicable Contest Site to complete and submit a Survey during the Contest Period ("Survey Entry"). The first time that an eligible individual completes a Survey (including providing all required responses and information and valid Canadian business or personal PayPal account) through a Contest Site during the Contest Period, an eligible entrant will receive one (1) entry into the Contest. Limit one (1) entry per person/company and per PayPal account regardless of the number of Surveys completed during the Contest Period. An eligible entrant must complete all Survey questions to earn a Survey Entry in the Contest, but substantive Survey responses will not affect such entrant's chances of winning a prize in this Contest. For purposes of the Contest, a Survey Entry is received only when the applicable Contest Site's servers record the submission of an entrant's completed Survey with all required information. Survey Entries must be submitted and received by Sponsor during the Contest Period, through the Contest Site, and in strict accordance with the instructions and restrictions in these Official Rules and on the Contest Site. Survey Entries must be received by 11:59:59 PM PT on December 31, 2024 in order to be eligible. Entrant must complete the entire survey in order to be eligible to receive an entry in the Contest. Proof of submitting a Survey or entry (such as, without limitation, a printed, saved or copied automated receipt confirming submission or a "thanks for entering" screen or message) does not constitute proof of actual receipt of an entry for purposes of the Contest. Survey Entry responses and entries may not be acknowledged or returned and Sponsor will own all Survey responses. The Contest Site's database clock will be the official timekeeper for entry into the Contest. Those who do not provide the required responses or entry information in their Survey Entry or Survey or abide by these Official Rules and other instructions of Sponsor and its representatives may, in Sponsor's sole discretion, be disqualified and the associated entry void. Attempts made by an entrant to submit entries in excess of any limit or otherwise in violation of these Official Rules by using multiple or false contact information or otherwise may be disqualified. Purported entries that are forged, altered, incomplete, lost, late, misdirected, mutilated, illegitimate, unintelligible, garbled, or generated by a macro, bot, or other automated means will not be accepted and will be void. Entries or participation made on an entrant's behalf by any other individual, made by any entity or group, or originating at any website or online service other than a Contest Site, including, without limitation, through commercial promotion subscription notification or entering services, will be declared invalid and disqualified for the Contest.
Method #2: Alternate Method of Entry ("AMOE"). To enter without completing a survey, mail a postcard (the “Mail-In Entry”), including your name, complete address, email address and phone number to the following address to receive one (1) entry into the Contest to: US Sweepstakes & Fulfillment, ATTN: PayPal Canada January 2024 to December 2024 Survey Contest, 17-7000 McLeod Road, Unit 135, Niagara Falls, ON L2G 7K3. Each Mail-In Entry must be mailed separately and must be postmarked between January 1, 2024 and December 31, 2024 and received by January 7, 2025. Photocopied, illegible, or mechanically reproduced entries are not eligible. All entries become the property of the Sponsor and will not be returned or acknowledged. Sponsor is not responsible for lost, late, damaged, misdirected or postage-due mailed entries.
WINNER SELECTION: The winner will be selected in a random drawing for each Contest Period based on the chart above by Sponsor or its designee from among all eligible entries received during the corresponding Contest Period, subject to verification. Odds of winning a prize depend on the number of eligible entries received per corresponding Contest Period.
NOTIFICATION: Within approximately three (3) days, Sponsor or its designee will attempt to notify the potential winner that he or she may have won a prize by email (or using other contact information provided during entry in Sponsor's sole discretion). To claim a prize, winner will be required to correctly answer a skill-based mathematical test question without mechanical or other aid (which may, in the sole and absolute discretion of the Sponsor, be administered online, by email or other electronic means, by telephone, or in the Sponsor’s form of Declaration and Release) (collectively, the "Winner Documents") according to Sponsor's instructions within seven (7) days from when Sponsor sends the Winner Documents or other time frame as specified by Sponsor or its representative. The Winner Documents are subject to verification by Sponsor and may require the entrant to provide his or her copy of government-issued identification card or number therefrom. If a potential winner is participating on behalf of a business and cannot receive a prize from Sponsor per winner's employer's policies, such potential winner will forfeit the prize won and Sponsor will have no further obligation to that winner. If any prize, prize notification, or Contest-related communication is rejected, faulty, or undeliverable or if potential winner does not provide the answer within the required time period, provides an incorrect or incomplete answer, or is noncompliance with the terms of administration of the skill-testing question does not respond according to the notification's or Sponsor's instructions, the prize may, in Sponsor's sole discretion, be forfeited and an alternate winner may be randomly selected (time permitting). Without limiting the generality of the forgoing, the Sponsor reserves the right, in its sole and absolute discretion, to administer an alternate test of skill as it deems appropriate based on the circumstances and/or to comply with applicable law.
Sponsor is not obligated to pursue more than three (3) alternate winners for any prize for any reason, in which case such prize may go unawarded. Sponsor reserves the right to modify the notification procedures and applicable deadlines for responding in connection with the selection of any alternate potential winner, if any.
PRIZE/APPROXIMATE RETAIL VALUE ("ARV"): PRIZES, QUANTITY AND APPROXIMATE RETAIL VALUE ("ARV"): A winner in each of the four (4) Contest Periods during the year, subject to verification, will each receive a prize, as follows; One (1) grand-prize each Contest Period will consist solely of a $1000 CAD MasterCard gift card. Total ARV of the prizes in this Contest: $4,000 CAD.
All prize details not specifically stated in these Official Rules will be determined by Sponsor in its sole discretion. All taxes (federal, provincial, and local), as well as any expenses not specified in these Official Rules as being provided as part of the prize, are the sole responsibility of winner. If a prize is legitimately claimed, it will be awarded. Sponsor is not responsible for and will not replace any lost, mutilated, or stolen prize, or any prize that is undeliverable or does not reach a winner because of incorrect or changed contact information. If winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited and Sponsor will have no further obligation with respect to that prize or portion of the prize. Upon prize forfeiture or inability to use a prize or portion thereof for any reason, no compensation will be given and Sponsor will have no responsibility or liability to that entrant. Winner is strictly prohibited from selling, auctioning, trading or otherwise transferring any part of a prize, except with Sponsor's permission, which may be granted or withheld for any reason in its sole discretion. No transfers, prize substitutions or cash redemptions will be made, except at Sponsor's sole discretion. Sponsor reserves the right to substitute the stated prize or portion thereof with another prize or portion thereof of equal or greater value for any reason, including, without limitation, prize unavailability. No more than the stated prizes will be awarded. Entrants waive the right to assert as a cost of winning any prize, any and all costs of verification and redemption or travel to claim the prize and any liability and publicity which might arise from claiming or seeking to claim a prize.
LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH ENTRANT AGREES TO RELEASE, DISCHARGE, HOLD HARMLESS AND INDEMNIFY EACH OF THE RELEASED PARTIES FROM AND AGAINST ANY CLAIMS, DAMAGES, DISABILITY, ATTORNEYS' FEES, AND COSTS OF LITIGATION AND SETTLEMENT, AS WELL AS ANY LIABILITY WHATSOEVER FOR INJURIES OR DAMAGES OF ANY KIND SUSTAINED IN CONNECTION WITH THE USE, ACCEPTANCE, POSSESSION, MISUSE OR AWARDING OF THE PRIZE, OR WHILE PREPARING FOR, PARTICIPATING IN AND/OR TRAVELING TO OR FROM ANY PRIZE- OR CONTEST-RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO/OF PERSON OR PROPERTY. THE PRIOR LIMITATION ON DAMAGES IS NOT INTENDED TO LIMIT THE RELEASED PARTIES' OBLIGATION (IF ANY) TO PAY PREVAILING PARTY COSTS OR FEES IF RECOVERABLE PURSUANT TO APPLICABLE LAW. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WINNER AGREES THAT THE PRIZE WON IS PROVIDED AS-IS WITHOUT ANY WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, WHETHER NOW KNOWN OR HEREINAFTER ENACTED, RELATIVE TO THE USE OR ENJOYMENT OF THE PRIZE, INCLUDING, WITHOUT LIMITATION, ITS QUALITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
ADDITIONAL DISCLAIMERS: Released Parties are not responsible and/or liable for any of the following, whether caused by a Released Party, the entrant or by human error: (a) entries that are submitted by illegitimate means (such as, without limitation, by an automated computer program) or entries in excess of the stated limit; (b) any lost, late, incomplete, forged, altered, incomplete, illegible, mutilated, illegitimate, garbled, illegible, or misdirected entries, e-mail, Surveys, Survey Invitation(s), or Contest-related correspondence or materials or postage-due mail; (c) any error, omission, interruption, defect, or delay in transmission or communication; (d) viruses or technical or mechanical malfunctions, failures, interruptions, or unavailability of any kind; (e) errors, typos or misprints in these Official Rules, in any Survey or Contest-related advertisements or other materials; (f) electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant's e-mail account to receive e-mail messages; or (g) entrant contact information that is changed without prior notice to Sponsor or does not work. Without limiting any other provision in these Official Rules, Released Parties are not responsible or liable to any entrant or winner or any person claiming through such entrant or winner for failure to supply the prize or any part thereof in the event that any of the Contest activities or Released Parties' operations or activities are affected, as determined by Sponsor in its sole discretion, including, without limitation, by reason of any acts of God, any action, regulation, order or request by any governmental or quasi-governmental entity (whether or not the action, regulations, order or request proves to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any law, rule, regulation, order or other action adopted or taken by any governmental, federal, state, provincial or local government authority, or any other cause, whether or not specifically mentioned above.
PRIVACY: As a condition of entering the Contest, without limiting any other provision in these Official Rules, each entrant gives consent for Sponsor and its agents to obtain and deliver his or her name, address, and other information and content to third parties for the purpose of administering this Contest and complying with applicable laws, regulations, and rules. All entrant data is dealt with in accordance with the PayPal Canada Privacy Policy, available at (https://www.paypal.com/ca/webapps/mpp/ua/privacy-full?locale.x=en_CA.)
GRANT OF PUBLICITY RIGHTS: By entering the Contest (except where prohibited by law), each entrant grants the Released Parties the irrevocable, sublicensable, absolute right and permission to use, publish, post or display his or her name, photograph, likeness, voice, prize information, biographical information, Survey responses, any quotes attributable to him or her, any other indicia of persona, and any information contained in or submitted as part of his or her entry (regardless of whether altered, changed, modified, edited, used alone, or used with other material in the Released Parties' sole discretion) for advertising, trade, promotional and publicity purposes without further obligation or compensation of any kind to him or her, anywhere, in any medium now known or hereafter discovered or devised (including, without limitation, on the Internet), world-wide, without any limitation of time, and without notice, review, or approval and each entrant releases all Released Parties from any and all liability related thereto. Nothing contained in these Official Rules obligates Sponsor to make use of any of the rights granted in these rules and winner waives any right to inspect or approve any such use.
ENFORCEMENT OF AND COMPLIANCE WITH OFFICIAL RULES: Sponsor's decisions will be final in all matters relating to this Contest, determination of any winner, and awarding of the prize. All entrants, as a condition of entry, agree to be bound by these Official Rules, the PayPal Canada User Agreement, and the decisions of Sponsor. Failure to comply with these Official Rules or the PayPal User Agreement may result in disqualification from this Contest. Sponsor's failure to or decision not to enforce any provision in these Official Rules will not constitute a waiver of that or any other provision. In the event there is an alleged or actual ambiguity, discrepancy, or inconsistency between disclosures or other statements contained in any Contest-related materials, Survey Invitation(s), and/or these Official Rules (including any alleged discrepancy in these Official Rules), it will be resolved by Sponsor in its sole discretion. Entrants waive any right to claim ambiguity in any Contest materials, Survey Invitation, or these Official Rules. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
GOVERNING LAW AND LIMITATION OF LIABILITY: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of entrants, Sponsor or the Released Parties in connection with the Contest will be governed by and construed in accordance with the internal laws of the Province of Ontario, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.
BY ENTERING THE CONTEST, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (D) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.
DISPUTES: The parties hereto each agree to finally settle all disputes only through arbitration; provided, however, the Released Parties shall be entitled to seek injunctive or equitable relief in the provincial courts in Toronto, Ontario, Canada and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Contest shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. ("JAMS") or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a "Demand for Arbitration", then either party can elect to have the arbitration administered by the American Arbitration Association ("AAA") or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in Toronto, Ontario. The provincial law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in Toronto, Ontario, Canada. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court.
CANCELLATION, MODIFICATION, SUSPENSION, DISQUALIFICATION EVENTS: In its sole discretion, Sponsor reserves the right to: (a) void entries of any entrants who Sponsor believes have attempted to tamper with or impair the administration, security, fairness or proper play of this Contest; (b) disqualify any entrant if Sponsor determines at any time in its sole discretion that such entrant is ineligible, in violation of these Official Rules, or engaging in behavior that Sponsor deems obnoxious, inappropriate, threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person (even if such person been notified or displayed or announced anywhere as being the winner or potential winner); (c) restrict or void online entries or participation from any IP address if any suspicious entry and/or participation is detected; (d) cancel, modify or suspend the Contest and award the prize in a manner deemed fair and appropriate by Sponsor if the Contest is not capable of running as planned for any reason; (e) disqualify any entrant that supplies false information, obtains entries by fraudulent means or is otherwise determined to be in violation of these Official Rules or the PayPal User Agreement in an attempt to obtain any prize (and in such case, that person may be prosecuted to the full extent of the law). Entrants agree to not damage or cause interruption of the Contest and/or prevent others from participating in the Contest. In the event of a dispute concerning who submitted an entry/Survey, the entrant will be declared to be the registered account holder of the email address associated with the PayPal account provided during entry, but only if that person meets all other eligibility criteria, otherwise the entry may, in Sponsor's sole discretion, be disqualified and any potential prize won forfeited. A registered account holder is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Winner may be required to show proof of being the registered account holder. If a dispute cannot be resolved to Sponsor's satisfaction, in its sole discretion, the entry will be deemed ineligible. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR TO UNDERMINE THE LEGITIMATE OPERATION OF A CONTEST VIOLATES CRIMINAL AND CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY ENTRANT MAKING SUCH ATTEMPT AND MAY SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.

APERÇU/DÉROULEMENT/PROMOTEUR : Le Concours du sondage PayPal Canada de janvier 2024 à décembre 2024 (le « Concours »), commandité par PayPal, Canada, 661 University Ave, Toronto, ON M5G 1M1, Canada (le « Promoteur »), débute à 00 h 00 m 00 s heure du Pacifique ("HP") le lundi 1er janvier 2024 et se termine à 23 h 59 m 59 s HP le mardi 31 décembre 2024 (« la Période de promotion ») avec quatre (4) Périodes de concours correspondantes (chacune une « Période de concours »), conformément aux détails ci-dessous. Le Promoteur réalisera un ou plusieurs sondages (le ou les « Sondage(s) ») durant la Période de concours et enverra des courriels à des personnes sélectionnées tout au long de la Période de concours pour les inviter à participer à ce(s) Sondage(s) («la ou les Invitations au sondage »). La première fois qu’une personne admissible répond correctement et entièrement à un Sondage durant la Période de concours, cette personne reçoit un (1) bulletin de participation au Concours, conformément aux détails ci-dessous. Limite d’un (1) bulletin de participation par personne/entreprise et par compte PayPal, peu importe le nombre de Sondages remplis durant la Période de concours. Pour être admissible, vous devez avoir reçu une Invitation au sondage directement du Promoteur. Après la Période de concours, un (1) gagnant sera sélectionné par tirage au sort parmi tous les bulletins de participation admissibles reçus dans le cadre de tous les Sondages réalisés durant la Période de concours, conformément aux détails ci-dessous. Certains Sondages réalisés par le Promoteur durant la Période de concours ne permettent pas de participer au Concours. Seuls les Sondages réalisés avec des Invitations au sondage offrant une participation à ce Concours sont admissibles.
ADMISSIBILITÉ : Ce Concours est ouvert uniquement aux personnes qui : (1) sont des résidents légaux du Canada (le « Territoire »); (2) ont l’âge de majorité de leur province ou territoire de résidence principale le jour de leur participation; (3) reçoivent une Invitation au sondage autorisée du Promoteur; (4) ont (ou dont l’entreprise a) un compte personnel ou d’affaires PayPal canadien valide et en règle le jour de la participation et jusqu’au tirage et la remise du prix (les « Participants admissibles »). L’entreprise pour laquelle un participant individuel travaille ou dont il est propriétaire doit être légalement constituée dans une province/juridiction du Territoire. Les employés, dirigeants, administrateurs, membres, gestionnaires, agents et représentants du Promoteur, de FocusVision ou de leur société mère, de leurs filiales, de leurs entités affiliées, de leurs divisions, de leurs représentants, de leurs consultants, de leurs sous-traitants, de leurs fournisseurs, de leurs distributeurs, de leurs avocats, des fournisseurs de prix, des administrateurs du Concours, des agences de publicité, de relations publiques, de promotion, de gestion de prix et de marketing associés au Concours (collectivement les « Parties exonérées »), ainsi que les membres de leur famille immédiate (constituée aux fins des présentes du conjoint, des parents, des tuteurs légaux, des enfants et des frères/sœurs de chaque conjoint) ainsi que les autres personnes habitant au même domicile qu’une partie exonérée, ne sont pas admissibles au Concours. L’admissibilité des personnes recevant une Invitation au sondage sera déterminée à l’entière discrétion du Promoteur. Même si vous recevez une Invitation au sondage, vous devrez confirmer votre respect des critères d’admissibilité. La réception d’une Invitation au sondage ne garantit pas l’admissibilité au Concours.
Si vous participez au nom d’une entreprise ou de votre employeur, vous acceptez que ce Règlement officiel vous engage personnellement, ainsi que votre employeur. Si vous agissez dans le cadre de votre emploi, à titre d’employé, d’entrepreneur, d’agent ou à tout autre titre, vous attestez que : (1) vous avez l’autorité d’agir ainsi; (2) votre employeur/entreprise connaît bien vos actes dans le cadre des présentes et y consent; (3) vos actes ne violent aucunement les politiques et les procédures de votre employeur ou de votre entreprise.
PÉRIODES DE CONCOURS : Quatre (4) Périodes de concours ont été établies, conformément au tableau ci-dessous. Les bulletins de participation doivent être reçus durant une Période de concours pour être admissibles au tirage de cette Période de concours. Les bulletins de participation non gagnants d’une Période de concours ne seront pas transférés aux Périodes de concours ultérieures.
MÉTHODES DE PARTICIPATION : Deux (2) méthodes de participation sont offertes.
Méthode 1 : Participation par Sondage. Durant la Période de concours, le Promoteur envoie des Invitations au sondage à des participants sélectionnés leur demandant d’aller sur un site Web désigné (le ou les "Site(s) du concours") pour répondre à un Sondage. Pour participer, les participants admissibles doivent cliquer sur le lien ou suivre les instructions de connexion incluses dans leur Invitation au sondage, puis suivre les liens et les instructions à l’écran pour répondre à et envoyer un Sondage durant la Période de concours (le « Bulletin de participation par sondage »). La première fois qu’une personne admissible répond à un Sondage (avec toutes les réponses aux questions et les renseignements demandés, dont un compte PayPal canadien personnel ou d’affaires) sur un Site du concours durant la Période de concours, cette personne admissible reçoit un (1) bulletin de participation au Concours. Limite d’un (1) bulletin de participation par personne/entreprise et par compte PayPal, peu importe le nombre de Sondages remplis durant la Période de concours. Les participants admissibles doivent répondre à toutes les questions du Sondage pour recevoir un Bulletin de participation par Sondage au Concours, mais le contenu des réponses n’affectera pas les chances de gagner un prix du Concours. Aux fin du Concours, un Bulletin de participation par sondage est reçu uniquement lorsque les serveurs du Site du concours enregistrent la réception d’un Sondage dûment rempli, avec toutes les informations requises. Ces Bulletins de participation doivent être envoyés au et reçus par le Promoteur durant la Période de concours, via le Site du concours, de façon rigoureusement conforme aux instructions et aux restrictions du présent Règlement officiel et affichées sur le Site du concours. Pour être admissibles, les Bulletins de participation par sondage doivent être reçus avant 23 h 59 m 59 s (HP) le 31 décembre 2024. Pour avoir droit à un bulletin de participation au Concours, les participants doivent répondre au Sondage dans sa totalité. Une preuve d’envoi d’un Sondage ou d’un bulletin de participation (notamment un accusé de réception imprimé, copié ou enregistré, une capture d’écran « Merci pour votre participation » ou tout message du même ordre) ne constitue pas une preuve de réception du bulletin de participation aux fins du Concours. Il est possible que des réponses des Bulletins de participations par Sondage et des bulletins de participation ne fassent pas l’objet d’un accusé de réception ou d’un retour. De plus, le Promoteur deviendra propriétaire de toutes les réponses aux Sondages. L’horloge de la base de données du Site du concours constituera la référence temporelle officielle de participation au Concours. Si une personne ne fournit pas toutes les réponses requises ou toutes les informations de participation demandées dans son Sondage ou son bulletin de participation, ou si une personne ne respecte pas le Règlement officiel ou d’autres instructions du Concours, le Promoteur et ses représentants se réservent le droit, à leur entière discrétion, de disqualifier cette personne et d’annuler sa participation. Les tentatives d’un participant d’envoyer plus de bulletins de participation que la limite établie ou de violer autrement le présent Règlement officiel en utilisant des coordonnées fausses ou multiples seront passibles de disqualification. Les bulletins de participation faux, contrefaits, modifiés, incomplets, perdus, en retard, mal acheminés, mutilés, illicites, illisibles, brouillés ou générés par une macro, un robot ou un autre moyen automatisé ne seront pas acceptés et seront annulés. Les bulletins de participation faits au nom d’un participant par une autre personne, par une entité ou par un groupe, ou provenant d’un site Web ou d’un service en ligne autre qu’un Site du concours, incluant notamment un service sur abonnement de notification de promotions commerciales ou un service de participation à des concours, seront déclarées invalides et seront disqualifiées du Concours.
Méthode 2 : Deuxième méthode de participation (« DMP »). Si vous désirez participer sans remplir de Sondage, vous devez envoyer une carte postale (« Participation postale ») contenant votre nom, votre adresse postale complète, votre adresse courriel et votre numéro de téléphone à l’adresse suivante, afin de recevoir un (1) bulletin de participation au Concours : US Sweepstakes & Fulfillment, ATTN: PayPal Canada janvier 2024 to décembre 2024 Survey Contest, 17-7000 McLeod Road, Unit 135, Niagara Falls, (Ontario) L2G 7K3. Chaque bulletin postal de participation doit être posté séparément et porter un cachet de poste daté entre le 1 janvier 2024 et le 31 décembre 2024, et être reçu au plus tard le 7 janvier 2025. Les bulletins de participation photocopiés, illisibles et reproduits par des moyens mécaniques ne seront pas admissibles. Tous les bulletins de participation reçus deviennent la propriété du Promoteur, ne seront pas retournés et leur réception ne sera pas confirmée. Le Promoteur réfute toute responsabilité relativement aux bulletins de participation perdus, en retard, endommagés, mal acheminés ou mal affranchis.
SÉLECTION DES GAGNANTS : Un gagnant sera sélectionné par tirage au sort pour chaque Période de concours (dont les dates figurent dans le tableau ci-dessus), par le Promoteur ou son délégué, parmi tous les bulletins de participation admissibles reçus durant la Période de concours correspondante, sous réserve de vérification. La probabilité de gagner un prix dépendra du nombre total de bulletins de participation admissibles reçus durant la Période de concours correspondante.
NOTIFICATIONS : Dans un délai d’environ trois (3) jours, le Promoteur ou son délégué tentera d’informer le gagnant sélectionné par courriel (ou à l'aide de toute autre information de contact mentionnée dans le bulletin de participation, à l’entière discrétion du Promoteur). Pour réclamer son prix, chaque gagnant devra répondre correctement à une question d’habileté mathématique sans aide mécanique ni de tout autre type (laquelle pourra, à l’entière et absolue discrétion du Promoteur, être administrée en ligne, par courriel, par d’autres moyens électroniques, par téléphone ou sur un formulaire de déclaration et d’exonération du Promoteur) (collectivement les « Documents du gagnant ») conformément aux instructions du Promoteur, dans un délai de sept (7) jours après que le Promoteur a envoyé les Documents du gagnant ou tout autre délai établi par le Promoteur ou son représentant. Les Documents du gagnant feront l’objet de vérifications par le Promoteur et peuvent exiger que le participant fournisse une copie ou le numéro d’une pièce d’identité délivrée par une administration gouvernementale. Si un gagnant sélectionné participait au nom d’une entreprise et ne peut pas recevoir le prix offert par le Promoteur à cause des politiques de son employeur, ce gagnant sélectionné perdra le prix et le Promoteur n’aura plus aucune obligation envers ce gagnant. Si une remise de prix, une notification de prix ou une communication relative au Concours est rejetée, défectueuse ou impossible à remettre ou si un gagnant sélectionné n’arrive pas à fournir la réponse dans le délai requis, s’il fournit une réponse inexacte ou incomplète, s’il ne respecte pas les conditions d’administration de la question de compétences ou s’il ne répond pas conformément aux instructions de la notification ou du Promoteur, le prix pourra être annulé, à la discrétion du Promoteur, et un autre gagnant pourra être sélectionné au hasard (si le temps le permet). Sans limiter le caractère général des présentes, le Promoteur se réserve le droit, à son entière et absolue discrétion, d’administrer un autre test de connaissances selon ce qui lui semblera approprié dans les circonstances ou pour respecter les lois en vigueur. Le Promoteur n’a pas l’obligation de sélectionner plus de trois (3) gagnants substituts d’un prix, quelles que soient les circonstances, auquel cas le prix correspondant pourrait demeurer non décerné. Le Promoteur se réserve le droit de modifier les procédures de notification et les délais applicables de réponse relativement à la sélection d’un gagnant substitut, le cas échéant.
PRIX : Un (1) grand gagnant pour chacune des quatre (4) Périodes du concours de l’année, sujet à vérification, recevra un (1) grand prix lors de chaque Période du concours constitué d’une carte cadeau MasterCard de 1 000 CAD. La valeur totale des prix pour ce Concours est de 4 000 CAD. Tous les détails du prix qui ne sont pas précisément spécifiés dans le présent Règlement officiel seront déterminés par le Promoteur, à son entière discrétion. Les impôts (fédéraux, provinciaux et locaux) et les frais non spécifiés dans ce Règlement officiel et s’appliquant au prix, demeurent sous l’entière responsabilité du gagnant. Si un prix est légitimement réclamé, il sera remis. Le Promoteur se dégage de toute responsabilité et refuse de remplacer tout prix perdu, mutilé, volé, impossible à remettre ou n’arrivant pas au gagnant à cause de coordonnées incorrectes ou non actualisées. Si un gagnant n’accepte pas ou n’utilise pas la totalité de son prix, la partie non acceptée ou non utilisée du prix sera perdue et le Promoteur n’aura aucune obligation concernant ce prix ou la partie de prix en cause. Si un prix est perdu ou si la totalité ou une partie d’un prix n’est pas utilisée pour une raison quelconque, aucune compensation ne sera offerte et le Promoteur n’aura aucune responsabilité ou obligation vis-à-vis de ce gagnant. Il est strictement interdit à un gagnant de vendre, de vendre aux enchères, d’échanger ou de transférer autrement une partie d’un prix, à moins d’autorisation du Promoteur, qui pourra accorder ou refuser une demande en ce sens à son entière discrétion, sans obligation de se justifier. Aucun prix ne pourra être transféré, substitué ou échangé contre des espèces, sauf sur décision du Promoteur, à son entière discrétion. Le Promoteur se réserve le droit de substituer la totalité ou une partie du prix annoncé par un autre prix ou une autre partie du prix de valeur égale ou supérieure, pour quelque raison que ce soit, notamment en cas de non-disponibilité du prix. Rien d’autre que les prix annoncés ne sera offert ou remis. Les participants renoncent au droit de réclamer à titre de coût de gagner, tous les coûts de vérification et de réclamation, incluant les déplacements nécessaires pour réclamer un prix, ainsi que pour toute obligation et toute publicité pouvant découler de la réclamation ou des démarches de réclamation d’un prix.
LIMITES DE RESPONSABILITÉ : SOUS RÉSERVE DES LOIS EN VIGUEUR, CHAQUE PARTICIPANT ACCEPTE D’EXONÉRER, DE DÉGAGER DE TOUTE RESPONSABILITÉ ET D’INDEMNISER TOUTES LES PARTIES EXONÉRÉES RELATIVEMENT À QUELQUE RÉCLAMATION, DOMMAGE, PRÉJUDICE, FRAIS D’AVOCAT, FRAIS DE LITIGE ET DE RÈGLEMENT, AINSI QUE POUR TOUTE RESPONSABILITÉ EN CAS DE BLESSURE OU DE DOMMAGE QUELCONQUE RELATIVEMENT À L’UTILISATION, À L’ACCEPTATION, À LA POSSESSION, À UN MAUVAIS USAGE OU À LA REMISE D’UN PRIX, OU ENCORE POUR LA PRÉPARATION, LA PARTICIPATION AU CONCOURS OU UN DÉPLACEMENT POUR UN PRIX OU UNE ACTIVITÉ CONCERNANT LE CONCOURS, INCLUANT NOTAMMENT TOUTE BLESSURE, TOUT DOMMAGE, DÉCÈS, PERTE OU ACCIDENT AFFECTANT UNE PERSONNE OU UN BIEN. LA RESTRICTION PRÉCÉDENTE SUR LES DOMMAGES NE VISE PAS À LIMITER LES PARTIES EXONÉRÉES DE QUELQUE OBLIGATION (LE CAS ÉCHÉANT) DE PAYER À LA PARTIE GAGNANTE LES COÛTS ET LES FRAIS RECOUVRABLES, CONFORMÉMENT AU DROIT APPLICABLE. SOUS RÉSERVE DES LOIS EN VIGUEUR, LE GAGNANT ACCEPTE QUE LE PRIX GAGNÉ SOIT OFFERT EN L’ÉTAT, SANS AUCUNE PROMESSE OU GARANTIE, EXPRESSE OU IMPLICITE, DE FAIT OU EN DROIT, DANS SON ÉTAT ACTUEL OU SOUS UNE FORME ULTÉRIEURE QUELCONQUE, RELATIVEMENT À L’UTILISATION ET À LA JOUISSANCE DU PRIX, INCLUANT NOTAMMENT SA QUALITÉ, SON POTENTIEL COMMERCIAL OU SON ADÉQUATION À UN USAGE QUELCONQUE.
AUTRES EXONÉRATIONS : Les parties exonérées ne sont pas responsables et n’ont aucune obligation relativement aux situations suivantes, peu importe qu’elles soient causées par une partie exonérée, un participant ou une erreur humaine : (a) bulletins de participation envoyés par des moyens interdits (notamment par un programme informatique automatisé) et bulletins de participation dépassant la limite établie; (b) bulletins de participation, courriels, Sondages, Invitations au sondage, correspondances/documents du Concours et courriers mal affranchis, perdus, en retard, incomplets, contrefaits, modifiés, illisibles, mutilés, interdits, brouillés ou mal acheminés; (c) erreurs, omissions, interruptions, défauts ou retards de transmission ou de communication; (d) présence de tout virus, défaut technique ou mécanique, défaillance, panne, interruption ou indisponibilité; (e) erreurs, fautes de frappe ou d’impression de ce Règlement officiel, d’une partie d’un Sondage, d’une publicité relative au Concours ou tout autre document concernant le Concours; (f) communications électroniques impossibles à transmettre à cause d’une forme quelconque de filtrage actif ou passif, ou à cause d’un manque d’espace dans la boîte de réception du compte courriel d’un participant; (g) coordonnées d’un participant ne fonctionnant pas ou ayant été changées sans préavis au Promoteur. Sans restreindre la portée des autres clauses de ce Règlement officiel, les parties exonérées réfutent toute responsabilité ou obligation envers tout participant ou gagnant, ou toute autre personne se réclamant d’un participant ou d’un gagnant, en cas de non-remise de la totalité ou d’une partie d’un prix si des activités du Concours ou des activités des parties exonérées sont affectées, selon le jugement du Promoteur à son entière discrétion, par une cause quelconque, notamment : une catastrophe naturelle; une action, une réglementation, un ordre ou une requête d’une entité gouvernementale ou quasi gouvernementale (même si l’action, la réglementation, l’ordre ou la requête s’avère invalide); un défaut d’équipement; une menace d’acte terroriste; un acte terroriste; un raid aérien; une panne d’électricité majeure; un acte d’un ennemi public; un séisme; un acte de guerre (déclarée ou non); un incendie; une inondation; une épidémie; une explosion; des conditions climatiques inhabituelles; un ouragan; un embargo; un conflit de travail ou une grève (légale ou illégale); une pénurie de main-d’œuvre ou de matériel; une interruption de transport de quelque type que ce soit; un ralentissement de travail; des désordres civils; une insurrection; une émeute; une loi, une règle, une réglementation, une ordonnance ou autre action d’une autorité gouvernementale fédérale, d’État, provinciale ou locale; ainsi que toute autre cause n’étant pas spécifiquement mentionnée ici.
CONFIDENTIALITÉ : À titre de condition de participation au Concours et sans limiter l’application des autres clauses de ce Règlement officiel, chaque participant consent que le Promoteur et ses agents puissent obtenir et transmettre son nom, son adresse et d’autres informations ou contenus à des tiers dans le but d’administrer ce Concours, ainsi que pour respecter les lois, les réglementations et les règles en vigueur. Toutes les données des participants sont traitées conformément à la politique de confidentialité de PayPal Canada (https://www.paypal.com/ca/webapps/mpp/ua/privacy-full?locale.x=en_CA.)
OCTROI DES DROITS DE PUBLICITÉ : Du fait de sa participation au Concours (sauf dans les juridictions où la loi l’interdit), chaque participant octroie aux parties exonérées l’autorisation et le droit irrévocable, absolu et pouvant faire l’objet d’une sous-licence, d’utiliser, de publier, d’afficher et de diffuser son nom, sa photographie, son image, sa voix, les informations sur son prix, ses informations biographiques, ses réponses au Sondage, ses propos, tout indice de sa personne et toute information contenue ou faisant partie de son bulletin de participation (même si ces informations sont altérées, modifiées, changées, éditées, utilisées hors contexte ou utilisées avec autre chose, à l’entière discrétion des parties exonérées) à des fins de publicité, de commerce, de promotion et de marketing, sans recevoir aucune obligation ou compensation que ce soit, n’importe où et sur n’importe quel média connu ou inventé dans le futur (incluant notamment le réseau Internet), dans le monde entier, sans aucune limitation de temps et sans préavis, droit d’examen ou d’approbation, et chaque participant exonère toutes les parties exonérées de toute responsabilité relativement aux présentes. Aucun élément de ce Règlement officiel n’oblige le Promoteur à utiliser les droits qui lui sont conférés par ce règlement et le gagnant renonce à tout droit d’inspecter ou d’approuver ces utilisations.
APPLICATION ET RESPECT DU RÈGLEMENT OFFICIEL : Toutes les décisions du Promoteur sur tous les sujets concernant ce Concours, la détermination des gagnants et les remises de prix sont finales et sans appel. Toute violation de ce Règlement officiel ou du contrat d’utilisation PayPal sera passible de disqualification du Concours. Toute omission ou décision du Promoteur de ne pas faire appliquer une clause du présent Règlement officiel ne constitue pas une renonciation définitive de faire appliquer cette clause ou toute autre clause. En cas d’ambiguïté alléguée ou confirmée, incohérence ou confusion entre des déclarations ou d’autres informations figurant dans un document relatif au Concours, une Invitation au sondage et/ou ce Règlement officiel (incluant toute allégation d’incohérence dans le présent Règlement officiel), une telle situation sera résolue par le Promoteur à son entière discrétion. Les participants renoncent au droit de se plaindre relativement à quelque ambiguïté dans la Documentation du concours, une Invitation au sondage ou ce Règlement officiel. L’invalidité ou l’inapplicabilité de toute clause de ce Règlement officiel ne peut nullement affecter la validité et l’applicabilité des autres clauses. Si une clause des présentes est déclarée invalide, inapplicable ou illégale, le reste de ce Règlement officiel demeurera valide et sera interprété comme si la clause invalide ou illégale n’en faisait pas partie.
DROIT APPLICABLE ET LIMITES DE RESPONSABILITÉ : Tous les litiges et tous les doutes concernant la construction, la validité, l’interprétation et l’application de ce Règlement officiel ou les droits et obligations des participants, du Promoteur ou des parties exonérées relativement au Concours, seront réglés et interprétés conformément aux lois internes de l’Ontario, sans égard aux règles ou aux clauses de choix de loi ou de conflit de lois pouvant conduire à l’application d’autres lois.
DU FAIT DE SA PARTICIPATION AU CONCOURS, CHAQUE PARTICIPANT ACCEPTE QUE, DANS LA MESURE DES LOIS APPLICABLES : (A) LES LITIGES, LES DIFFÉRENDS, LES RÉCLAMATIONS ET LES CAUSES D’ACTION EN RELATION AVEC LE CONCOURS OU UN PRIX, SERONT RÉSOLUS INDIVIDUELLEMENT, SANS POSSIBILITÉ DE RECOURS COLLECTIF; (B) TOUTE RÉCLAMATION, TOUTE DÉCISION D’INDEMNISATION ET TOUTE COMPENSATION SERA LIMITÉE AUX COÛTS RÉELS DÉBOURSÉS PAR LE TIERS PLAIGNANT (LE CAS ÉCHÉANT) SANS DÉPASSER DIX DOLLARS (10,00 $) ET EN AUCUNE CIRCONSTANCE, LES FRAIS D’AVOCATS POURRONT ÊTRE COMPENSÉS OU RÉCUPÉRÉS; (C) EN AUCUNE CIRCONSTANCE, AUCUN GAGNANT NE POURRA OBTENIR UNE COMPENSATION, ET PAR LES PRÉSENTES, LE PARTICIPANT RENONCE EXPRESSÉMENT ET EN CONNAISSANCE DE CAUSE À TOUT DROIT DE DEMANDER UNE COMPENSATION, POUR QUELQUE DOMMAGE PUNITIF, INDIRECT, ACCESSOIRE, FORTUIT OU SPÉCIAL, POUR QUELQUE PERTE DE PROFIT ET/OU TOUT AUTRE TYPE DE DOMMAGE, SAUF LES DÉPENSES RÉELLEMENT EFFECTUÉES SANS DÉPASSER DIX DOLLARS (10,00 $), ET/OU RELATIVEMENT À TOUT DROIT DE MULTIPLICATION OU D’AUGMENTATION DES DOMMAGES; (D) LES RECOURS DES PARTICIPANTS SE LIMITENT AUX RÉCLAMATIONS POUR DOMMAGES MONÉTAIRES (LE CAS ÉCHÉANT) ET LE PARTICIPANT RENONCE IRRÉVOCABLEMENT À TOUT DROIT DE DEMANDER UNE MESURE INJONCTIVE OU EN ÉQUITÉ. PUISQUE CERTAINES JURIDICTIONS INTERDISENT LES LIMITATIONS ET LES EXCLUSIONS DE RESPONSABILITÉ, IL EST POSSIBLE QUE LES RESTRICTIONS CI-DESSUS NE S’APPLIQUENT PAS À VOUS.
LITIGES : Les parties des présentes acceptent individuellement de conclure un règlement final de leurs litiges uniquement par voie d’arbitrage; en sachant cependant que les parties exonérées pourront demander des mesures injonctives ou en équité aux tribunaux provinciaux ayant juridiction à Toronto (Ontario, Canada) et à tout autre tribunal ayant juridiction sur les parties. En arbitrage, il n’y a ni juge ni jury et l’examen du cas est limité. Les décisions et ordonnances de l’arbitre sont finales et exécutoires, avec quelques possibilités limitées d’exceptions, et le jugement rendu peut être enregistré auprès de tout tribunal compétent. Les parties acceptent que, sauf dans les cas ci-dessus, toute réclamation, poursuite, action ou procédure en justice en relation avec ce Concours soit résolue uniquement par arbitrage exécutoire devant un arbitre seul, conformément aux règles et procédures d'arbitrage simplifiées de JAMS Inc. (« JAMS ») ou tout successeur de JAMS. Si JAMS ne peut pas ou ne désire pas fixer une date d’audience dans un délai de quatorze (14) jours après le dépôt d’une « demande d’arbitrage », l’une ou l’autre des parties peut demander un arbitrage administré par l’American Arbitration Association (« AAA ») ou tout autre service d’administration d’arbitrage mutuellement acceptable. Si une audience en personne est requise, elle devra alors avoir lieu à Toronto (Ontario). Le droit provincial s’appliquant à ce Règlement officiel s’appliquera aussi à toute procédure d’arbitrage. Les litiges seront arbitrés uniquement sur une base individuelle et ne pourront être consolidés avec quelque autre procédure portant sur une réclamation ou un litige d’une autre partie, incluant tout recours collectif; sous réserve cependant, que si un tribunal ou un arbitre décide que cette restriction est déraisonnable ou inapplicable, auquel cas l’entente d’arbitrage ne s’applique pas et le litige doit être porté à l’attention d’un tribunal compétent ayant juridiction à Toronto (Ontario, Canada). Le Promoteur accepte de payer les frais administratifs et d’arbitrage afin que la procédure d’arbitrage ait lieu (mais exclut spécifiquement les frais de voyage et les autres frais d’un participant pour assister à une audience d’arbitrage). Nonobstant la présente clause, chaque partie peut porter toute réclamation admissible à l’attention d’un tribunal de petites créances.
ANNULATION, MODIFICATION, SUSPENSION ET ÉVÉNEMENTS DE DISQUALIFICATION : À son entière discrétion, le Promoteur se réserve le droit de : (a) annuler les bulletins de participation des participants soupçonnés d’avoir tenté d’influencer ou de perturber l’administration, la sécurité, l’équité ou le déroulement approprié du Concours; (b) disqualifier un participant si le Promoteur détermine à son entière discrétion que ce participant est inadmissible, qu’il viole le présent Règlement officiel ou qu’il agit d’une manière jugée odieuse, inappropriée, menaçante, illégale ou visant à nuire, agresser, menacer ou harceler une autre personne (même si ce participant a été informé qu’il était gagnant ou qu’il a été annoncé que ce participant était un gagnant confirmé ou un gagnant sélectionné); (c) restreindre ou annuler des bulletins de participation en ligne ou provenant d’une adresse IP spécifique si des participations suspectes sont détectées; (d) annuler, modifier ou suspendre le Concours et octroyer le prix d’une manière jugée juste et appropriée par le Promoteur si le Concours ne peut se dérouler comme prévu pour une raison quelconque; (e) disqualifier un participant fournissant de fausses informations, obtenant des participations de manière frauduleuse ou désirant agir en violation du présent Règlement officiel ou du contrat d’utilisation PayPal pour tenter d’obtenir un prix (auquel cas cette personne sera passible de poursuite en justice avec toute la force de la loi). Les participants acceptent de ne pas nuire au Concours, de ne pas causer une interruption du Concours et de ne pas empêcher des personnes de participer au Concours. En cas de litige sur l’identité d’une partie ayant envoyé un bulletin de participation ou un Sondage, il sera déclaré que le participant sera le titulaire officiel de l’adresse courriel associé au compte PayPal fourni avec le bulletin de participation, mais uniquement si cette personne remplit tous les autres critères d’admissibilité. Dans le cas contraire, le bulletin de participation pourra être disqualifié, à l’entière discrétion du Promoteur, et tout prix potentiellement attribué serait alors perdu. Un titulaire officiel est une personne naturelle associée à une adresse courriel par un fournisseur d’accès Internet, un fournisseur de services en ligne ou une autre organisation (p. ex. une entreprise, une institution d’éducation, etc.) responsable d’attribuer des adresses courriel pour le domaine associé à l’adresse courriel soumise. Il est possible qu’un gagnant doive présenter une preuve d’être le titulaire officiel de l’adresse courriel de participation. Si un litige ne peut pas être résolu à la satisfaction du Promoteur, à son entière discrétion, le bulletin de participation en cause pourra être déclaré inadmissible. MISE EN GARDE : TOUTE TENTATIVE DE NUIRE À UN SERVICE EN LIGNE, À UN SITE WEB OU AU DÉROULEMENT LÉGITIME D’UN CONCOURS PEUT ÊTRE DÉCLARÉE CONTRAIRE AU DROIT CIVIL ET CRIMINEL. SI UNE TELLE TENTATIVE EST DÉTECTÉE, LE PROMOTEUR PEUT DISQUALIFIER SON AUTEUR ET DEMANDER DES DOMMAGES AVEC TOUTE LA RIGUEUR DE LA LOI.
